Terms of Use
1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of the website located at mypremiertitle.com and any associated pages, forms, and features (collectively, the "Site"), which is operated by Premier Title Solutions LLC, a Florida limited liability company doing business as Premier Title Solutions ("Premier Title Solutions," "we," "us," or "our").
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Site.
These Terms govern your use of the Site only. Services we provide in connection with a specific transaction are governed by the separate closing, escrow, and title documents applicable to that transaction. Where those documents conflict with these Terms, those documents control as to that transaction.
2. About Us
Premier Title Solutions LLC is a Florida limited liability company, document number L25000059425, operating as a Florida title insurance agency providing title insurance, escrow, and real estate settlement services. Our principal office is located at 20900 NE 30th Avenue, Unit 503, Aventura, Florida 33180. Title insurance policies referenced on the Site are issued by our underwriter, Fidelity National Title Insurance Company, and not by Premier Title Solutions. We act as an agent of the underwriter with respect to the issuance of title insurance.
[CLIENT INPUT REQUIRED: Insert the agency's Florida Department of Financial Services title insurance agency license number here if the client wishes to display it.]
3. No Legal Advice and No Attorney-Client Relationship
Premier Title Solutions is a title insurance agency, not a law firm. Nothing on the Site, and no communication from our staff, constitutes legal advice, tax advice, or investment advice. Use of the Site does not create an attorney-client relationship, and no such relationship is created by contacting us, submitting a form, or engaging us to provide title or escrow services.
Information on the Site regarding Florida real estate practice, closing customs, title insurance, taxes, and fees is provided for general informational purposes only. Closing customs vary by county and are subject to negotiation between the parties in the purchase contract. Laws, rules, and rates change. You should consult a licensed Florida attorney, accountant, or other qualified professional regarding your specific circumstances.
4. No Insurance Coverage Created by the Site
No title insurance coverage is created, bound, or committed by the Site, by any form submission, or by any communication from us other than a title insurance commitment or policy issued in writing by the underwriter.
The terms, conditions, exclusions, and exceptions of any title insurance policy are set forth in the policy itself and in the commitment preceding it. Any description of coverage on the Site is a general summary only and is qualified in its entirety by the actual policy language. In the event of any conflict, the policy controls.
5. Quotes, Estimates, and Fees
Any quote, estimate, fee schedule, or figure provided through the Site or in response to a request submitted through the Site is an estimate only, is provided for informational purposes, and is not a binding offer or a guarantee of final closing costs.
Title insurance premiums in Florida are promulgated by the Florida Office of Insurance Regulation and are calculated based on the purchase price or loan amount. Final charges depend on the actual terms of the transaction, the results of title examination, the requirements of the lender and the underwriter, the county in which the property is located, applicable taxes and recording fees, association and payoff charges, and other factors that may not be known at the time a quote is prepared.
Estimates are subject to change without notice. Final figures will be reflected on the settlement statement or closing disclosure issued in connection with your transaction.
6. Wire Fraud and Verification of Payment Instructions
READ THIS SECTION CAREFULLY.
Real estate transactions are frequently targeted by criminals who compromise email accounts and transmit fraudulent wire instructions that appear to originate from a title company, real estate agent, lender, attorney, or party to the transaction. Funds sent to a fraudulent account are often unrecoverable.
You agree that:
- You will verify all wiring instructions by telephone before transmitting any funds, by calling Premier Title Solutions at (305) 605-3931 using a telephone number you have independently verified, and speaking with a person you know;
- You will not rely on wiring instructions, account numbers, or telephone numbers contained in an email, including any email that appears to come from us;
- You will treat any email that changes, updates, corrects, or re-sends wiring instructions as fraudulent until you have verified it by telephone through the process described above;
- You will notify us immediately by telephone if you receive any communication that appears suspicious or that purports to change payment instructions.
Premier Title Solutions will not request that you change wire instructions by email. To the fullest extent permitted by law, Premier Title Solutions is not responsible for, and disclaims all liability for, losses arising from funds transmitted to an account that was not verified by telephone in accordance with this Section.
7. Electronic Communications and Signatures
By providing your email address or telephone number, you consent to receive communications from us electronically, including by email and, where you have separately consented, by text message. You agree that electronic communications satisfy any legal requirement that a communication be in writing.
Where permitted by law and agreed by the parties to a transaction, documents may be executed electronically under the federal Electronic Signatures in Global and National Commerce Act and the Uniform Electronic Transaction Act as adopted in Florida. Certain documents, including certain recordable instruments, may require wet signatures or notarization. We will advise you of the requirements applicable to your transaction.
You may withdraw consent to electronic communications by contacting us, but doing so may prevent us from providing services electronically.
8. Submissions Through the Site
Forms on the Site allow you to request a quote, request information, or open a title order. Submitting a form does not create a binding agreement, does not open an escrow, and does not obligate us to accept your order or provide services. We reserve the right to decline any order or engagement in our discretion, subject to applicable law.
You agree that information you submit through the Site is accurate and complete to the best of your knowledge, and that you are authorized to provide any information you submit about another person or entity. Do not submit Social Security numbers, bank account numbers, or wire instructions through Site forms or unsecured email.
9. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Site, its servers, or any related systems;
- Interfere with or disrupt the operation of the Site, including by transmitting malware or engaging in automated scraping, harvesting, or data mining;
- Use the Site to transmit unsolicited commercial communications;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Reproduce, distribute, or create derivative works from Site content except as permitted in Section 10.
10. Intellectual Property
All content on the Site, including text, graphics, logos, images, page design, and the selection and arrangement of content, is owned by Premier Title Solutions or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.
"Premier Title Solutions" and the Premier Title Solutions logo are marks of Premier Title Solutions LLC. Other marks appearing on the Site, including those of our underwriter, are the property of their respective owners and are used with permission or as permitted by law. Nothing on the Site grants you a license to use any mark.
You may view, download, and print pages of the Site for your personal, non-commercial use in connection with a transaction, provided you do not remove any copyright or proprietary notices. Any other use requires our prior written consent.
11. Third-Party Links and Services
The Site may contain links to websites and services operated by third parties. We provide these links for convenience only. We do not control, endorse, or assume responsibility for the content, products, services, or practices of any third-party site. Your use of a third-party site is at your own risk and is governed by that site's terms and privacy policy.
12. Disclaimer of Warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PREMIER TITLE SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. We do not warrant that content on the Site is accurate, complete, current, or applicable to your circumstances.
Nothing in this Section limits or disclaims any obligation we owe under a title insurance policy, an escrow agreement, a closing protection letter, or any other written agreement applicable to a transaction, or any duty imposed on a title insurance agency by Florida law that may not be disclaimed.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PREMIER TITLE SOLUTIONS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
This Section applies to claims arising from use of the Site. It does not limit any liability arising under a title insurance policy, escrow agreement, or closing protection letter, which is governed by the terms of those instruments, and does not limit liability for fraud, gross negligence, or willful misconduct, or any liability that may not be limited under applicable law.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Premier Title Solutions and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.
15. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, share, and protect information. Please review it carefully.
16. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
You agree that the exclusive venue for any action arising out of or relating to these Terms or the Site is the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.
[CLIENT DECISION REQUIRED: The client should decide, with counsel, whether to include a binding arbitration provision and a class action waiver in these Terms. Such provisions have meaningful consequences and are not included in this draft. Note also that escrow and closing protection instruments may contain their own dispute resolution provisions that should not be inadvertently overridden.]
17. Changes to These Terms
We may revise these Terms at any time. The revised version will be posted on this page with an updated "Last Updated" date and takes effect when posted. Your continued use of the Site after the revised Terms are posted constitutes acceptance. If you do not agree to the revised Terms, discontinue use of the Site.
18. General Provisions
- Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of that provision or of any other provision.
- Assignment. You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Premier Title Solutions regarding the Site and supersede any prior understandings regarding the Site.
- Headings. Headings are for convenience only and do not affect interpretation.
